Terms & Conditions

Last updated: 1 January 2025

1. Definitions

In these Terms: "Company" means EcoEnergy Solax Ltd (Company No. 14897007); "Customer" means the person or entity ordering goods and/or services; "Contract" means the agreement formed when the Company accepts a Customer's signed order; "Goods" means solar PV panels, battery storage systems and associated components; "Services" means the design, installation, commissioning, and aftercare provided by the Company.

2. Formation of contract

A Contract is formed only when: (a) the Company has provided a written quotation; (b) the Customer has signed and returned the acceptance form; and (c) the Company has confirmed acceptance in writing. Verbal agreements, website enquiries, and survey bookings do not constitute a binding Contract.

3. Quotations

Quotations are valid for 30 days from the date of issue. The Company reserves the right to revise a quotation if, following the survey, site conditions differ materially from those described by the Customer. Any revised quotation will be provided in writing before any further commitment is made.

4. Price and payment

4.1 Prices are stated inclusive of VAT at the applicable rate. Solar PV and battery storage installations on eligible residential properties currently attract 0% VAT under HMRC rules; the Company will confirm the applicable rate in the quotation.
4.2 Unless otherwise agreed in writing, payment is due in full upon completion of installation.
4.3 Where finance is arranged, payment terms are governed by the separate credit agreement with Ideal4Finance Ltd.

5. Installation

5.1 The Company will carry out all work using appropriately qualified and MCS-certified engineers.
5.2 The Customer must provide safe and reasonable access to the property on the agreed installation date. Where access is denied or impractical, the Company may charge a abortive visit fee.
5.3 The Customer must obtain any planning permissions, landlord consents, or leasehold approvals required before installation commences. The Company is not liable for delays caused by the Customer's failure to do so.
5.4 The Company will handle DNO notification and MCS certificate registration on the Customer's behalf as part of the standard service.

6. Warranties

6.1 Workmanship warranty: 10 years from the date of installation, covering defects attributable to the installation work.
6.2 Product warranties: Solar panels — typically 12 years product warranty and 25-year performance warranty (manufacturer). Batteries — typically 10 years (manufacturer). Inverters — typically 5–12 years depending on make and model. Product warranties are provided by and enforceable against the relevant manufacturer, not the Company.
6.3 Warranties are voided by: unauthorised modification, physical damage, failure to carry out recommended maintenance, or use in conditions outside the manufacturer's specification.

7. Savings estimates

Any energy saving projections, payback periods, or generation estimates provided by the Company are illustrative only. Actual performance will vary depending on weather, consumption patterns, energy tariffs, shading changes, and system degradation. The Company does not guarantee any specific level of saving or generation.

8. Cancellation

8.1 Customers who are consumers (as defined by the Consumer Rights Act 2015) have the right to cancel within 14 days of signing the Contract without giving a reason (cooling-off period). Notice must be given in writing.
8.2 If installation has commenced at the Customer's explicit written request within the 14-day period, the Customer may be charged for work carried out and materials ordered or delivered.
8.3 Cancellation after the cooling-off period may result in charges for materials ordered, surveying costs, and administrative costs.

9. Liability

9.1 The Company's total liability to the Customer, whether in contract, tort, or otherwise, shall not exceed the total price paid by the Customer under the relevant Contract.
9.2 The Company is not liable for: loss of profit, indirect or consequential loss, loss arising from grid outages or SEG tariff changes, or loss caused by the Customer's own acts or omissions.
9.3 Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

10. Intellectual property

All content on the EcoEnergy Solax website, including text, graphics, calculators, and animations, is the intellectual property of EcoEnergy Solax Ltd and may not be reproduced without written consent.

11. Governing law

These Terms are governed by the law of England and Wales. Any dispute shall be subject to the exclusive jurisdiction of the courts of England and Wales.
